Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Oduma Corp ("we", "us", "our") governing your use of the Oduma Corp platform, website, and all associated services (collectively, the "Platform").

These Terms are effective upon registration and apply to all users, regardless of role (innovator, investor, or administrator). They are to be read together with our Privacy Policy & Platform Agreement, which is incorporated herein by reference.

To use Oduma Corp you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into a binding contract under the laws of your jurisdiction.
• Not be barred from receiving services under applicable law.
• Provide accurate, current, and complete registration information.

The Platform is designed for innovators, investors, and businesses operating in or engaging with African markets. Use outside this context does not exempt you from these Terms.

Providing false information during registration — including a false name, email address, or role — is grounds for immediate account suspension without notice.

Your content. You retain full ownership of all content you create and post on the Platform — including project descriptions, posts, proposals, and media. By posting, you grant Oduma Corp a non-exclusive, worldwide, royalty-free licence to display, distribute, and promote that content within the Platform for the purpose of operating the service. We do not sell your content to third parties.

Platform content. All Platform software, design, branding, logos, and documentation are the exclusive property of Oduma Corp and are protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works without written permission.

Your responsibility. You confirm that any content you post does not infringe the intellectual property rights of any third party. Oduma Corp reserves the right to remove content that appears to violate third-party IP rights without notice.

Oduma Corp facilitates introductions and collaboration between innovators and investors but does not verify the accuracy of project financials, valuations, or projections. Past performance of projects on the Platform does not guarantee future results.

By Oduma Corp. We reserve the right to suspend or permanently terminate any account that violates these Terms, at our sole discretion, with or without prior notice. In cases of serious violations (fraud, abuse, illegal activity), termination is immediate.

By you. You may delete your account at any time from your profile settings. Upon deletion, your public content will be removed from the Platform. However, data relating to completed contracts, equity agreements, and financial transactions may be retained for legal and audit purposes as described in our Privacy Policy.

Termination does not release you from obligations arising under agreements formed with other users through the Platform prior to termination.

To the maximum extent permitted by applicable law, Oduma Corp and its affiliates, officers, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, data, goodwill, or other intangible losses.
• Damages arising from unauthorised access to or alteration of your content or account.
• The conduct, content, or actions of any other Platform user.
• Any investment outcomes resulting from connections made through the Platform.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

These Terms are governed by the laws of Kenya, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or your use of the Platform shall first be referred to Oduma Corp's internal mediation process. If unresolved within 30 days, disputes shall be submitted to the jurisdiction of the courts of Nairobi, Kenya.

You agree to attempt good-faith resolution of any dispute directly with Oduma Corp before initiating any formal legal proceeding.

Oduma Corp may update these Terms from time to time. When we make material changes we will:

• Update the "Last updated" date at the top of this page.
• Send a notification to your registered email address.
• Display a prominent notice on the Platform for at least 14 days.

Your continued use of the Platform after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Platform and may request account deletion.
